BestChange platform swap desk listing policy

For the purposes of this Swap Desk Listing Policy (the "Policy") the following definitions shall have the following meanings:

"Digital Assets" mean, collectively, cryptographic tokens, cryptocurrencies, non-fungible, virtual commodities and other assets that may be defined as "virtual assets", "cryptographic assets" and "digital assets" which may be offered for exchanging by Swap Desks Listed on the Platform;

"Individual User" means any private individual that has attained, under the applicable law or the law of his / her fixed abode, age of legal capacity to adhere to and to be sued under the Platform's Terms of Use.

"Licensor" means Agretis Software Design LLC, License No. 1078065, having its registered address at: Office 84, FG-LHEU, Mana bin Khalifa bin Saeed Al Maktoum, Dubai, UAE, PO Box 214950.

"Listing" means integration / listing of the Operator's Service on the Platform upon (i) the SDO successfully passing the KYC and AML checks required for listing of the Operator's Service on the Platform, and (ii) successful completion of check of compliance with this Policy by the SD, the Website, and the SDO;

"Listing Application" means an application submitted by the SDO for the purposes of Listing.

"Operator's Service"means the Operator's online service(s) being the Swap Desk(s) available via the Licensor's Platform;

"Swap Desk" ("SD") means an interactive swap desk operated by a SDO, designated for providing Individual Users via Platform functionality with information on potential deals on swapping (exchanging) Digital Assets, including but not limited to swapping (exchanging) virtual (digital) currencies for fiat currencies and other virtual (digital) currencies and Digital Assets, that performs such swapping (exchanging) of virtual (digital) currencies for fiat currencies on a regular basis;

"Swap Desk Operator" ("SDO") means an individual, individual entrepreneur or a duly incorporated legal entity that operates the SD and uses the Platform's functionality to List the SD on the Platform and display information about such SD and offer that SD's services to Individual Users;

"SD Regulations" means an internal document of each Swap Desk establishing rules of that Swap Desk with respect to (i) execution of Swap Orders, and (ii) performance of AML / KYC / KYT procedures, displayed on the SD Website and created in accordance with the "Mandatory Requirements for SD Regulations" Section hereof;

"Swap Order" means a request for swapping Digital Assets submitted by an Individual User to a SD for execution;

"Transaction" means the act of transacting or the fact of any Digital Asset and/or other items, fiat currency or other assets or items being transacted from one Authorized User to another via the Operator's Service (Swap Desk) both on or outside the Platform, including Transactions directly between Swap Desks and Individual Users;

"Website" means the website(s) related to the Operator's Service, owned and operated by the Operator and branded with the Operator Brand;

Any and all other definitions given in this Policy shall have the meaning assigned to them in Terms of Use of the BestChange Platform.

GENERAL PROVISIONS

This Policy establishes technical and other requirements for Listing of Swap Desks on the BestChange Platform.

Acceptance of this Policy and submission of Your Listing Application for Listing Your SD on the BestChange Platform shall constitute Your express consent to be legally bound by the terms of this Policy. You may submit Listing Applications for Listing of both automated and semi-automated SDs.

Please read and review this Policy, and make sure your SD is fully compliant with the requirements set forth in this Policy before you submit Your Application. The Licensor reserves the right to refuse to accept Your Application and List Your SD if Your SD is found to be non-compliant with any requirement of this Policy.

If a Swap Desk violates this Policy or Associated Documents, the Licensor has the right to de-List the Swap Desk for a period of at least 4 hours. The violation must be eliminated when the Swap Desk is de-Listed. In case of repeat violations, the Swap Desk can be de-Listed for longer terms or permamently.

By accepting these Terms of Use You accept the terms of the following legal documents which regulate other matters pertaining to Your use of the Platform, constitute an integral part of these Terms of Use, and are incorporated by reference here in (collectively, the "Associated Documents"):

Please be informed that certain requirements established by this Policy may be negotiable at the Licensor's discretion. If Your SD does not fully comply with all requirements established by this Policy You may contact us to discuss the potential Listing options. For example, some requirements may be re-negotiated if Your Swap Desk supports rare Digital Assets.

Please be advised that we take no fees for Swap Desk Listing, and you only pay License Fees for using the relevant Platform functionality. If someone contacts you on behalf of the Licensor or as an "official" BestChange representative and offers to speed up the Listing process for a fee, you can be sure you are dealing with scammers. A Swap Desk using such services contrary to our recommendations will be added to the BestChange Platform's blacklist without the possibility to Listing Application being reconsidered. In addition, the Licensor does not accept temporary deposits from Swap Desk Operators to guarantee reliability of particular Swap Desks.

LISTING APPLICATION REVIEW

Once the Listing Application is submitted, the Licensor accepts the Listing Application for review and sends notification about the decision within 10 days from receipt of the Listing Application.

Audit and Listing of Swap Desks for which Listing Application was submitted may require an undeterminable amount of time, and usually takes from several weeks to several months.

The Licensor reserves the right to de-List the Swap Desk from the Platform if it no longer complies with this Policy, Terms of Use, or any Associated Documents.

The Licensor reserves the right to refuse to List a Swap Desk at its sole discretion without any explanation.
